It was part of the corporate lore at Bank of America: Whenever legendary boss Hugh McColl would buy a bank in Florida, Texas, or Georgia in the 1980s and early 1990s, he’d call his trusted lieutenant Ken Lewis to his Charlotte office and order Lewis to fix the new acquisition to fit his revolutionary vision of a branch network stretching from coast to coast.

The Securities and Exchange Commission filed charges Monday against Bank of America for misleading investors about billions of dollars in bonuses paid to top executives at Merrill Lynch following its purchase of the brokerage giant.

One of the enduring mysteries about Ken Lewis’ decision to proceed with Bank of America’s $50 billion acquisition of Merrill Lynch last fall is why Lewis did not disclose Merrill’s growing weekly multi-billion dollar losses to his shareholders before they voted on the deal on December 5.
